These Terms of Service ("Terms") govern your access to and use of the DibsText service (the "Service"), operated by UberBad LLC ("UberBad," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
The Service lets a business ("you" or "Customer") embed a lead-capture widget on its own website. When a visitor to your site submits that widget, the Service automatically sends that visitor a text message on your behalf and notifies you, subject to the message templates and settings you configure.
You must provide accurate information when creating an account and are responsible for all activity under your account and for keeping your login credentials secure.
Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
The Service sends SMS text messages to your leads on your behalf, and may send you SMS notifications. By using the Service, you agree that:
You are solely responsible for obtaining proper consent from every person whose contact information you collect through the widget before that person is texted, in compliance with the Telephone Consumer Protection Act (TCPA) and all other applicable laws. You may only use the Service to contact people who have affirmatively agreed to receive text messages from your business. You are responsible for the accuracy of your message templates and for how you use any information collected through the Service.
You agree not to use the Service to:
We own the Service and all associated software, branding, and content. You retain ownership of your own business content (message templates, business information, and lead data you collect).
The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee that messages will be delivered instantly, or at all — delivery depends on third-party carriers and infrastructure outside our control.
To the maximum extent permitted by law, UberBad LLC will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us in the twelve months before the claim arose.
You agree to indemnify and hold UberBad LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, including claims arising from your failure to obtain proper consent from a message recipient.
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, including by sending messages without proper recipient consent.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service. Continued use after changes take effect means you accept the updated Terms.
